Terms & Conditions
Version v0.1-draft · Effective 2026-10-19
Draft — not yet legally reviewed
StatusLoop is pre-launch and these terms have not been through legal review. They describe our genuine intent, including the limits in section 5, but they should not be relied on as a finished agreement. Questions: hello@statusloop.io.
1. Agreement
These Terms & Conditions govern access to and use of the StatusLoop platform (the “Service”). By creating an account, accepting these Terms, or using the Service, the organization on whose behalf you act (“Customer”) agrees to them.
If you accept on behalf of an organization, you represent that you have authority to bind it.
2. Your data belongs to you
Customer owns its data — everything you and your users put into StatusLoop, including organizations, spaces, programs, projects, tasks, status updates, OKRs, people records and intake submissions. Nothing in these Terms transfers ownership to us.
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, process and delete that data, solely as needed to operate, maintain, secure and support the Service for you.
We may produce aggregated, de-identified statistics from use of the Service, provided they identify neither you, your users, nor any individual.
Where you enable AI features, the relevant data is sent to our AI sub-processor to generate the output.
3. Acceptable use
You and your users must not: use the Service unlawfully; upload content you have no right to provide; attempt to access other customers’ data or our infrastructure; scan or penetration-test the Service without our written consent; reverse engineer it except where that restriction is unenforceable by law; resell it as a service bureau; use automated means that degrade the Service or exceed documented API rate limits; or share seat credentials between individuals.
Do not upload payment card numbers, government identifiers, health records, or other special-category personal data. The Service is not designed or certified for them.
We may investigate suspected violations and may suspend access.
4. Availability
The Service is provided on an “as available” basis. We do not commit to any uptime percentage or service level.
We may modify, suspend or discontinue features. Where a change materially reduces core functionality we will make reasonable efforts to give advance notice.
5. Backups, data loss and export
We do not guarantee backups. We are under no obligation to maintain backup copies of your data, and no obligation to restore data that is lost, corrupted or deleted — whether through outage, provider failure, defect, or your own action.
You are responsible for keeping your own copies. The Service provides self-serve export: a full organization export as a spreadsheet workbook, plus project-plan and executive-deck exports. Export as often as your own retention needs require.
Nothing here limits liability that cannot be limited by law.
6. Sub-processors and data location
We use third-party sub-processors to deliver the Service, and your data is stored primarily in the United States. We will inform you before adding a new sub-processor that processes your data.
7. Fees and payment
A limited free tier is available. We may change its limits, or withdraw it, on notice.
Paid plans are charged as a recurring platform fee per organization plus a per-seat fee for users above the included allowance. Current fees are those shown at sign-up.
Seats are counted as users with access during the billing period, including pending invitations. Adding users mid-period increases the fee pro rata; removals take effect at the next period.
Invoices are payable within 30 days. Overdue amounts may accrue interest at the lower of 1.5% per month or the maximum permitted by law, and we may suspend access after written notice.
Fees exclude taxes, are non-refundable except where required by law, and may change on at least 30 days’ notice effective at the next renewal.
8. Suspension and termination
We may suspend access immediately where we reasonably believe there is a security risk, unlawful use, a breach of acceptable use, or non-payment after notice.
Either party may terminate for material breach not cured within 30 days of written notice. You may stop using the Service and close your account at any time. We may terminate a free-tier account on reasonable notice.
For 30 days after termination you may request an export of your data. After that window we may delete it permanently, and we are under no obligation to retain or recover it. Accrued fees remain payable.
9. Disclaimers and liability
Except as expressly stated, the Service is provided “as is” and “as available” without warranties of any kind, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation.
Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill, or lost or corrupted data.
Each party’s total aggregate liability is limited to the fees paid in the 12 months preceding the claim; for free-tier customers, to USD 100.
These limits do not apply to death or personal injury caused by negligence, to fraud, or to any liability that cannot be limited by law.
10. Changes and general
We may update these Terms. Material changes take effect on notice, and continued use after the effective date constitutes acceptance. Each version carries a version identifier and effective date, shown at the top of this page.
Neither party may assign without consent, except with a merger or sale of substantially all assets. These Terms are the entire agreement. If a provision is unenforceable, the rest remains in effect.
